KEYFACTOR COMMUNITY TERMS AND CONDITIONS

Welcome to the Keyfactor Community (the “Community”). The Community is operated by Keyfactor, Inc. and its affiliates (“Keyfactor,” “we,” “us,” or “our”) as a place for authorized customers, partners, and Keyfactor employees to share knowledge, discuss Keyfactor products and related topics, and connect with one another.
1. Acceptance of These Terms
By creating an account, accessing member-only areas, or participating in the Community, you agree to these Terms and the Keyfactor Community Guidelines (incorporated herein by reference), and you acknowledge the Keyfactor Privacy Policy at https://www.keyfactor.com/privacy-policy/. Together, these documents govern your participation in the Community. If you do not agree, do not register for or use the Community.
If you use the Community on behalf of an organization, you represent that you are authorized to do so. Keyfactor employees remain subject to applicable Keyfactor policies and contractual obligations.
2. Eligibility and Accounts
The Community is intended for Keyfactor customers, Keyfactor partners, and Keyfactor employees. You must be at least 18 years old to create an account. You must provide accurate registration information, keep your credentials secure, and not share or misuse another person’s account.
Some Community content may be publicly viewable; other content or features may require registration or be limited to particular member groups. Keyfactor may establish or change eligibility, verification, authentication, and access requirements. If you no longer meet the eligibility requirements described in the Community Guidelines, Keyfactor may restrict or terminate your Community access.
3. User Content and Feedback
The Community may allow you to post questions, answers, comments, ideas, images, files, links, and other materials (“User Content”). You retain ownership of your User Content and are responsible for ensuring you have the rights and permissions needed to post it.
By posting User Content, you grant Keyfactor and its service providers a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, distribute, format, adapt, and otherwise use that content as reasonably necessary to operate, administer, moderate, secure, maintain, and improve the Community and preserve Community discussions and knowledge resources. This license continues while the content remains available and as reasonably necessary for backup, archival, legal, security, or operational purposes.
If you voluntarily submit product ideas, feature requests, suggestions, or other feedback (“Feedback”), Keyfactor may use and incorporate that Feedback without restriction or compensation. Do not submit confidential information as Feedback unless Keyfactor has expressly agreed in writing to receive it on a confidential basis.
4. Keyfactor and Third-Party Content
Except for User Content and third-party materials, the Community and materials Keyfactor provides through it, including software, branding, trademarks, documentation, and other content, are owned by or licensed to Keyfactor and protected by applicable intellectual property laws. Your access is limited, revocable, non-exclusive, and solely for the Community’s intended purposes.
The Community may include links to or integrations with third-party websites or services. Keyfactor does not control and is not responsible for third-party services, content, availability, security, or practices. Separate third-party terms may apply.
5. Community Information and Support
The Community is intended for knowledge sharing and peer discussion. Unless Keyfactor expressly states otherwise, Community content does not constitute formal Keyfactor technical support, is not subject to support service-level agreements, does not amend product documentation or contractual commitments, and is not legal, compliance, security, or other professional advice.
Statements by individual Keyfactor employees or moderators do not create contractual commitments or warranties unless expressly included in a written agreement signed by an authorized Keyfactor representative. Use the applicable Keyfactor Support channel for urgent, account-specific, or formal support matters.
6. Moderation, Suspension, and Termination
Keyfactor may monitor, review, edit, move, restrict, or remove content and may warn, suspend, restrict, or terminate accounts or Community access when reasonably necessary to enforce these Terms or the Community Guidelines; address legal, security, operational, or abuse concerns; protect Keyfactor, Community members, or third parties; or administer or discontinue the Community.
Keyfactor is not required to monitor every communication or review User Content before it is posted. Termination of Community access does not alter separate contractual rights or obligations relating to Keyfactor products or services.
7. Privacy and Cookies
Keyfactor’s collection, use, disclosure, retention, and protection of personal information in connection with the Community is governed by the Keyfactor Privacy Policy.
The Community uses cookies and similar technologies, including technologies provided through the Gainsight community platform and other service providers, to operate the site and, where enabled, for functionality, analytics, personalization, and related purposes. Where required, cookie preferences may be managed through the Community’s cookie settings or consent interface. Disabling certain cookies may affect Community functionality. For additional information, see the Keyfactor Privacy Policy and the cookie information or controls presented through the Community.
8. Availability and Changes to the Community
Keyfactor may change, suspend, restrict, or discontinue all or part of the Community at any time. Keyfactor does not guarantee that the Community or any content or feature will always be available, uninterrupted, secure, or error-free.
9. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMMUNITY AND ALL COMMUNITY CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. KEYFACTOR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
KEYFACTOR DOES NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, SECURITY, OR AVAILABILITY OF THE COMMUNITY OR COMMUNITY CONTENT, OR THAT USE OF THE COMMUNITY WILL PRODUCE ANY PARTICULAR RESULT. YOU ARE RESPONSIBLE FOR EVALUATING COMMUNITY CONTENT BEFORE RELYING ON OR IMPLEMENTING IT.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KEYFACTOR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL HAVE NO LIABILITY ARISING OUT OF OR RELATING TO THE COMMUNITY, THESE TERMS, OR COMMUNITY CONTENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, INCLUDING FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IF APPLICABLE LAW DOES NOT PERMIT THE EXCLUSION OF LIABILITY DESCRIBED ABOVE, THE AGGREGATE LIABILITY OF KEYFACTOR AND THE OTHER KEYFACTOR PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE COMMUNITY OR THESE TERMS WILL NOT EXCEED US$100.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY TO THE EXTENT IT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
11. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Keyfactor and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, losses, and reasonable costs arising from your User Content, your material violation of these Terms, your infringement or violation of another person’s intellectual property, privacy, or other rights, or your unlawful use of the Community. This section does not apply to the extent a claim results from Keyfactor’s acts or omissions for which liability cannot lawfully be excluded.
12. Changes to These Terms
Keyfactor may update these Terms from time to time. The current version will be posted in the Community with an updated “Last Updated” date. Keyfactor may provide additional notice or require renewed acceptance for material changes where appropriate or required by law. Continued use after revised Terms become effective constitutes acceptance to the extent permitted by law.
13. Relationship to Other Agreements
These Terms apply specifically to participation in the Community and do not replace or amend any customer, subscription, license, support, services, partner, employment, contractor, nondisclosure, or other written agreement with Keyfactor. If these Terms conflict with a separately executed agreement between Keyfactor and you or your organization, that separate agreement controls with respect to the subject matter of that agreement.
14. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Community are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. To the fullest extent permitted by law, you and Keyfactor irrevocably submit to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any such dispute, and each party waives any objection based on inconvenient forum or improper venue.
15. General
If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Keyfactor’s failure to enforce any provision is not a waiver. You may not assign or transfer these Terms without Keyfactor’s prior written consent.
